What are terms and conditions, and what is their purpose?

What on earth is that?

Terms and conditions (T&C for Terms and Conditions of Sale or T&C for Terms and Conditions of Use) are a set of provisions that govern the relationship between a company and its customers, users, suppliers, or partners. They define all the rules, rights, and obligations of each party within the framework of their contractual relationship (whether it involves a sale, the provision of a service, or a collaboration).

These terms and conditions cover the fundamental aspects of the relationship, such as price, payment terms, delivery times, warranties, liability, and complaint procedures.

They are essential regardless of your industry: e-commerce, B2B or B2C services, software or platforms (SaaS, apps, etc.), transportation and logistics, tourism, education, and more.

Please note that in some areas, these are even mandatory, for example in e-commerce.

What's the point?

The purpose of the terms and conditions is to provide legal protection.

They help establish a clear and transparent framework: the Terms and Conditions set the ground rules before the parties enter into any agreement. No one would think of playing a game without knowing the rules… and the same applies in business!

They thus help reduce the risk of disputes: By anticipating potential areas of disagreement, the terms and conditions minimize misunderstandings. For the company, they therefore serve as a safeguard while ensuring compliance with legal obligations. From the customer’s perspective, they ensure a better understanding of the services or products purchased and the associated rights.

In summary, terms and conditions are essential for clarifying contractual obligations, protecting the interests of both parties, and ensuring a smooth and legally compliant business relationship. They provide legal certainty, facilitate the management of relationships with customers and users, and ensure greater transparency.

Drafting them carefully—preferably with the help of professionals—is therefore an essential investment for any company seeking to protect its interests and ensure smooth business relationships.
